Orchly provides an AI-powered platform for SEO optimization, content creation, AI search visibility tracking, and related marketing services. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. Account Registration

To use certain features of our Service, you must:

  • Maintain and update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account

4. Subscription and Payment

4.1 Subscription Plans

We offer various subscription plans with different features and limits. Subscription fees are billed in advance on a monthly or annual basis, as selected by you.

4.2 Free Trial

We may offer a free trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan and you will be charged according to your selected plan.

4.3 Payment Terms

You agree to pay all fees associated with your subscription. Fees are non-refundable except as required by law. We reserve the right to change our pricing with 30 days' notice.

4.4 Automatic Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings.

5. Acceptable Use

You may use our Service only for lawful purposes and in accordance with these Terms. You agree not to:

You are strictly prohibited from using the Service if you are, or are affiliated with, a competitor of Orchly. For purposes of this section, a "competitor" is defined as any individual, company, or entity that:

  • Offers products or services that compete with Orchly's AI-powered SEO, content optimization, or AI search visibility tracking services
  • Develops, markets, or sells similar or competing software, platforms, or services
  • Is in the business of creating, developing, or providing SEO tools, content optimization platforms, or AI search monitoring solutions

If you are a competitor or affiliated with a competitor, you may not access or use the Service for any purpose, including but not limited to:

  • Evaluating, analyzing, or benchmarking our Service
  • Gathering competitive intelligence or market research
  • Copying, replicating, or reverse engineering our features, functionality, or technology
  • Using our Service to develop, improve, or enhance competing products or services

We reserve the right to immediately terminate your account and access to the Service if we determine, in our sole discretion, that you are a competitor or using the Service for competitive purposes.

5.4 Prohibition on Copying and Competitive Development

You expressly agree that you will not:

  • Use the Service, or any information obtained from the Service, to develop, create, or build any product, service, or technology that competes with or is substantially similar to Orchly's Service
  • Copy, replicate, imitate, or reproduce any features, functionality, user interface, algorithms, methodologies, or proprietary technology of the Service
  • Extract, scrape, or systematically collect data, insights, or information from the Service for the purpose of building competing products or services
  • Use the Service as a reference, template, or foundation for developing competing solutions
  • Share, disclose, or make available any proprietary information, trade secrets, or confidential features of the Service to third parties for competitive purposes
  • Employ any techniques, methods, or approaches learned from using the Service to develop competing offerings

Any violation of this section constitutes a material breach of these Terms and may result in immediate termination of your account, legal action, and claims for damages including but not limited to lost profits and injunctive relief.

6. Intellectual Property

The Service, including all content, features, functionality, technology, algorithms, methodologies, user interfaces, designs, and proprietary information, is owned by Orchly and protected by copyright, trademark, trade secret, and other intellectual property laws. You may not copy, modify, distribute, create derivative works, reverse engineer, or use any aspect of the Service to develop competing products or services without our express written permission.

All proprietary information, including but not limited to our AI models, optimization algorithms, data processing methods, feature implementations, and business logic, constitutes valuable trade secrets of Orchly. Unauthorized use, disclosure, or reproduction of such information is strictly prohibited and may result in severe legal consequences.

6.2 Your Content

You retain ownership of content you submit to the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content solely for the purpose of providing and improving our Service.

6.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation or compensation to you.

7. Service Availability

We strive to maintain high availability of our Service but do not guarantee uninterrupted or error-free operation. We reserve the right to:

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORCHLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or data
  • Business interruption
  • Cost of substitute services

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Termination

  • Fail to pay fees when due

  • Breach any intellectual property rights or confidentiality obligations

13.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account and data, subject to our data retention policies and legal obligations.
